Terms of service

Effective 2026-10-28

These terms are an agreement between 10145947 Canada Inc. ("Lighthouse Retail", "we", "us"), a Canadian company based in Ontario, and the business that opens a Lighthouse Retail account ("you"). By opening an account or using the service, you accept them on behalf of your business. If you do not have the authority to bind the business, do not use the service.

The service

Lighthouse Retail is a point-of-sale, inventory and back-office service: registers, stock-room scanners, a back office, and the online services that connect them. We may improve and change the service over time. If we remove something you rely on, we will tell you in advance when we reasonably can.

Your account

  • You must give us accurate details and keep them up to date, especially the owner's email address: it is how we reach you.
  • You are responsible for keeping sign-in details secret and for everything done with your account. Tell us at once at support@lighthouseretail.ca if you think someone has used it without permission.
  • The service is for businesses. The person who opens the account must be at least the age of majority where they live.

Your staff

You decide who on your team has an account and what each role may do. You are responsible for what your staff do in the service, for removing access when someone leaves, and for making sure they follow these terms.

Your data

  • It is yours. The products, sales, customers and other records you put into the service belong to you. You give us permission to store, process and copy them only to provide, secure and support the service for you.
  • Your customers' information. You are responsible for collecting and using your shoppers' personal information lawfully: telling them what you collect, getting any consent the law requires, and answering their requests. We handle it on your behalf, as our privacy policy describes.
  • Taxes and records. The service calculates taxes and keeps records from the settings you choose. You are responsible for those settings, for the taxes you charge and remit, and for keeping the records the law requires of your business.
  • Exports. You can export your data from the back office and, as a whole account, from the console, at any time while your account is open.

Acceptable use

Do not use the service to:

  • break the law, or sell goods or services the law does not allow you to sell;
  • store or send anything that infringes someone else's rights, or that is malicious, such as viruses;
  • try to get into accounts, data or systems that are not yours, or test our security without our written permission;
  • overload, disrupt, copy or reverse-engineer the service, or resell it, except as we agree in writing;
  • send spam through the service.

We may suspend an account that breaks these rules or puts the service or other customers at risk. We will tell you why, and give you a chance to fix the problem first unless the risk is serious or the law prevents it.

Fees

Fees are as published on our website or as agreed with you in writing. Fees do not include taxes, which are added where they apply. If a payment is overdue, we may suspend the account after telling you, and restore it once it is paid. We will give you at least [30] days' notice before a price increase applies to you.

Availability and support

We work to keep the service available and to fix problems promptly, and we take nightly backups. But we do not promise that the service will always be available, uninterrupted or free of errors, and these terms include no service-level commitment. Planned maintenance may interrupt it; we try to do it at quiet times. Registers keep selling when the connection drops and send their sales when it returns, but some features need the connection.

Support is by email at support@lighthouseretail.ca.

Ending the agreement

  • You can close your account at any time from the console. The account is then suspended for a cooling-off period of 14 days, during which you can restore it; after that, it and its data are deleted. Backups that still contain it expire within 30 days. Export your data before you close the account.
  • We can end the agreement with [30] days' notice, or at once if you seriously or repeatedly break these terms or do not pay. When we end it for a reason other than your breach, you will have a fair chance to export your data first.

Disclaimer

The service is provided "as is". To the extent the law allows, we make no promises beyond those in these terms, including any implied promise that it is fit for a particular purpose. You are responsible for checking that the service suits your business, and for the prices, taxes and records it keeps from your settings.

Limitation of liability

To the extent the law allows:

  • we are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data you could have exported, or damage to reputation; and
  • our total liability for all claims about the service is limited to [the fees you paid us in the 12 months before the event that gave rise to the claim].

Nothing in these terms limits liability that cannot be limited by law, such as for fraud.

Changes to these terms

We may update these terms. We will post the new version here with its effective date and tell account owners by email at least [30] days before a change that reduces your rights takes effect. If you do not accept a change, you can close your account before it takes effect.

Law and courts

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Any dispute will be decided by the courts of Ontario, and both of us accept their jurisdiction.

General

If part of these terms cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. You may not transfer the agreement without our written consent; we may transfer it to a business that takes over the service, and will tell you if we do. These terms and our privacy policy are the whole agreement about the service, unless we have signed another agreement with you.
